Objectives of the Code of Ethics and Conduct

With this code, Exclusive Networks would like to communicate its ethical principles to representatives, business partners and third parties.

Our goal is to raise awareness of ethical values ​​and to ensure that business practices comply with ethical standards at all times.

We require the representatives and business partners of the Exclusive Networks and third parties to observe the ethical and organizational values ​​of the group and to uphold them in cooperation with the companies of the Exclusive Networks through their own behavior and decision-making processes. In addition, this document explains the seven ethical principles to which we, together with our agents, business partners and third parties, are committed. We want your company to apply these principles as the basis for our business cooperation.

We terminate our business relationships with representatives, business partners and third parties who behave unlawfully or unethically in the course of joint business activities. Exclusive Networks reserves the right to contact the relevant state authorities in such cases.

It can be challenging to understand local laws and when the laws of the United States or European countries apply to our business. However, this does not release us from complying with them.

Honesty, honesty and loyalty in everyday business life and in running the business

In addition to complying with the law, we require our representatives, business partners and third parties to conduct their business honestly, honestly and loyally. Honesty must be at the heart of our business dealings. Information that we make available to or exchange with our business partners should always be truthful and never misleading.

 

Avoiding Unfair Business Practices

Strict prohibition of corruption, bribery, money laundering and embezzlement

Inappropriate payments designed to gain an advantage in a particular situation, regardless of context or geographic area, are prohibited.

Exclusive Networks is obliged to comply with the Foreign Corrupt Practices Act ("FCPA"), which contains the following essential provisions that apply to all employees and partners of the Exclusive Networks (including agents, business partners and third parties):

  • It is strictly forbidden to give anything of value (cash or similar means of payment, gifts, charitable donations, inducements, sponsorship money, travel, investments, hospitality, entertainment or accommodation services, investment commitments for business ventures outside of contractual agreements with a domestic or foreign government official To grant, offer or approve third parties and other tangible or intangible objects of value, with the aim of receiving or continuing contracts, securing a business advantage or assigning contracts to someone else.
  • Cash payments to domestic and foreign government officials are prohibited.
  • Financial inducements, gifts, or favors that are given, either directly or indirectly, to an individual (or a non-government official) must be reasonable and within the normal range (i.e. they should not be burdensome or excessive);
  • Corruption, bribery, money laundering, breach of trust, unlawful or unfair business practices and the inadmissible acceptance of benefits are also strictly prohibited. If there is any doubt as to the appropriateness of a business approach, employees are required to discuss the matter with their supervisor and / or management.

In addition to these provisions, the Company's Gifts and Entertainment Policy contains guidelines on how Exclusive Networks employees should behave with regard to gifts and entertainment given or received by our company and those acting on our behalf. Our agents, business partners and third parties may not be used to give gifts on behalf of subsidiaries of Exclusive Networks.

Exclusive Networks employees are also requested not to accept any gifts or favors from business partners / third parties. This does not include business lunches that the business partner pays for (if they are present and such entertainment does not take place frequently), invitations to seminars or events by partners, free demo products provided by manufacturers, and gifts under a value of less than 50 dollars that are only given once a year in connection with a special event (e.g. chocolates or a bottle of wine at the end of the year). Our agents, business partners and third parties may not be used for the purpose of converting a gift into something that appears to be a service.

Reporting potential conflicts of interest to superiors

A conflict of interest exists when your personal interest or that of one of your employees may lead to a decision that is not in the best interests of the company. If there is a suspicion that a potential conflict of interest exists or a potential conflict of interest could arise, a report must be made to Exclusive Networks.

Creation of business documents according to the highest ethical standards

It is prohibited to produce false, inaccurate or misleading business documents. When creating business documents (such as invoices, delivery notes, credit notes, orders, etc.), the highest ethical standards must apply.

The products or services sold must be listed on the invoice, whereby the description must match the items shipped by agents, business partners and third parties or the services actually provided by them.

Exclusive Networks can only sell goods for which it is “certified” as a dealer or distributor or has concluded an agreement with the manufacturer.

Compliance with import and export regulations

Our international trading activity may be subject to legal restrictions. Special permits from local or US authorities may need to be obtained prior to importing or exporting any tangible or intangible asset. Agents, business partners or third parties who import or export products sold by Exclusive Networks are responsible for complying with all international trade control laws of the International Trade Center (ITC) and any export / import regulations applicable to the particular transaction.

 

Data confidentiality

No unauthorized disclosure of confidential information

Agents, business partners and third parties must ensure that Exclusive Networks' intellectual property and confidential information received for business purposes (such as financial results, plans, pricing information, customer or supplier information or lists, sales figures, strategic information, and company information) of any kind).
